Please read these Terms of Service carefully before you register as a Postly user or join a free or paid service (hereafter referred to as the "Service"). By completing the registration or using the services provided by Postly, you confirm that you have read and agreed to all the contents of these Terms of Service and related policies. You also agree to abide by the relevant specifications and acknowledge that Party A (Postly by Adivinartec Technologies) is not responsible for disruptions in service caused by factors beyond our control, including updates or changes to third-party platforms or APIs. Party B (the end-user) understands that no refunds can be requested due to such factors.
This Terms of Service and End-User License Agreement (EULA) governs your use of the Postly platform and its related services. If you do not agree with any part of this agreement, you should not register or use Postly.
By checking the box or clicking the button to confirm your acceptance when you first use the web application or by registering as a Postly member, you accept and agree to be bound by these Terms of Service and the End-User License Agreement. If you do not agree with any of these terms, you may not use the Service.
Postly is a social media management platform that enables users to create, schedule, and post content across various social media platforms, including LinkedIn, Instagram, Facebook, Google Business, Pinterest, and others. The Service depends on the APIs of these social media platforms, which are subject to change and may affect Postly's functionality.
Postly relies on the official APIs of social media platforms such as Facebook, Instagram, LinkedIn, Pinterest, and Google Business. These APIs are made available via the Developer Centers of these platforms. While we strive to maintain compatibility with these APIs, Party A is not responsible for any disruptions in service caused by updates, changes, or limitations imposed by third-party platforms.
Important Notes:
Postly's services may be disrupted by external factors such as third-party platform updates, API changes, or force majeure events (e.g., natural disasters, technological failures, government actions). In such cases, Party A is not liable for any interruptions, and Party B acknowledges that no refunds will be issued due to such disruptions.
Subject to your compliance with these Terms, Party A grants you a non-exclusive, non-transferable, limited right to access and use Postly for your personal or business purposes.
By using Postly, Party B agrees to:
Free and Paid Services: Postly offers both free and paid subscription services. Paid services may include advanced features such as enhanced scheduling, analytics, and priority customer support. By purchasing any paid services, you agree to pay the associated fees as described on the pricing page.
Billing and Payment: All payments are processed through secure third-party payment providers. You agree to provide accurate payment information and authorize us or our payment providers to charge your account for any subscription fees. Subscription plans will automatically renew unless canceled according to the cancellation terms.
Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, your account will remain active until the end of the current billing cycle. No refunds will be issued for partial months or unused services.
Party A reserves the right to terminate or suspend your access to Postly if you violate these Terms of Service or engage in illegal or prohibited activities. Upon termination, your right to access Postly will immediately cease, and Party A reserves the right to delete your account and any associated data.
To the fullest extent permitted by law, Party A will not be liable for any indirect, incidental, special, or consequential damages arising from or related to your use of Postly. Party A's total liability for any claim will not exceed the amount paid by Party B for the Service in the preceding 12 months.
Party B agrees to indemnify and hold harmless Party A, its affiliates, officers, employees, and agents from any claims, liabilities, damages, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of third-party rights.
These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts located in Trivandrum, India.
Party A reserves the right to modify these Terms of Service and the End-User License Agreement at any time. If material changes are made, you will be notified via email or through a notice on the platform. Your continued use of Postly after such changes constitutes your acceptance of the revised terms.
